亞馬遜大規(guī)模封殺口罩賣家的事件,持續(xù)發(fā)酵。5月13日,又有一批賣家前往亞馬遜深圳辦公室所在地來福士廣場(chǎng),向亞馬遜提出訴求。本文為賣家溝通團(tuán)隊(duì)分享文件,藍(lán)海億觀網(wǎng)在此轉(zhuǎn)載,不代表藍(lán)海億觀網(wǎng)的觀點(diǎn)和立場(chǎng)。
境外疫情開始爆發(fā),而國(guó)內(nèi)疫情已逐步得到控制,海外各國(guó)對(duì)口罩的需求急劇上升。而中國(guó)口罩產(chǎn)能逐步攀升,至3月初產(chǎn)能已有富余,在此背景下,跨境電商賣家開始對(duì)外銷售口罩。此時(shí),亞馬遜的上架口罩的準(zhǔn)入條件是通過其口罩類目審核,即提交產(chǎn)品相應(yīng)的采購發(fā)票及商品或其包裝圖片[1]。
基本上大部分賣家在售賣口罩時(shí)都已取得口罩銷售準(zhǔn)入資格,即通過了亞馬遜的口罩類目審核(否則上架口罩會(huì)被亞馬遜刪除),符合其口罩銷售政策。由于海外需求激增,大多數(shù)的訂單都產(chǎn)生于3月至4月初,4月初開始亞馬遜開始大批量封殺口罩賣家賬號(hào)。
亞馬遜從4月初開始永久關(guān)閉了一大批口罩賣家的店鋪,并且無限期扣留賣家的銷售應(yīng)收款,部門賣家甚至被亞馬遜關(guān)閉了登陸權(quán)限,無法進(jìn)行任何操作。此時(shí)發(fā)生后,有相同遭遇的賣家開始在各大論壇相互求助,焦慮地尋求封店原因。經(jīng)過分析我們認(rèn)為亞馬遜封店凍結(jié)的原因是:亞馬遜于4月初在無任何郵件通知及后臺(tái)公告的情況下悄然修改了口罩銷售的準(zhǔn)入門檻,要求提供FDA認(rèn)證、NIOSH認(rèn)證、品牌證書等一系列資料,導(dǎo)致之前已取得口罩銷售準(zhǔn)入資格的賣家被其程序判定為違反平臺(tái)政策。亞馬遜招商經(jīng)理曾于其商戶QQ群發(fā)布了威脅賣家下架口罩的通知[2]。
然而,許多賣家并沒有收到該通知(自注冊(cè)賣家并無招商經(jīng)理負(fù)責(zé)),并且QQ群也不是一個(gè)正式的通知環(huán)境,很容易造成信息遺漏。而且,部分賣家即使按照要求及時(shí)下架了口罩等相關(guān)產(chǎn)品,最終也還是未能逃過亞馬遜封殺的命運(yùn)。
亞馬遜大概從4月2日開始批量封殺口罩賣家賬號(hào),并永久扣留資金,給出的理由是:銷售了N95或類似口罩。
事實(shí)上,我們中國(guó)賣家銷售的都是一次性民用口罩,并沒有銷售N95口罩,也遭到亞馬遜的誤殺。而且,經(jīng)過批量封殺消滅絕大部分競(jìng)爭(zhēng)對(duì)手后,亞馬遜開始自己在平臺(tái)上銷售口罩,并在短短幾天內(nèi)一躍上升道類目銷售榜第一名。
許多賣家在封店后,開始尋求各種方式申訴以解封賬號(hào),許多人提交了申訴信并附上了自己的口罩資質(zhì)、采購發(fā)票、供應(yīng)商信息等,但都無一例外地失敗了,甚至部分賣家的申訴入口被關(guān)閉。
因此,我們對(duì)亞馬遜提供的常規(guī)申訴渠道感到了絕望,并于4月下旬陸續(xù)向南山亞馬遜辦事處申訴。亞馬遜工作人員讓我們填寫了《基本信息及問題描述》表格,并承諾24小時(shí)內(nèi)給出回復(fù)。可最終所有賣家都沒有收到過亞馬遜的任何回應(yīng)。
于是賣家紛紛對(duì)于常規(guī)申訴方式感到絕望,這才導(dǎo)致了5月7日、8日的線下維權(quán)行動(dòng)。
今日,亞馬遜再次未經(jīng)通知、公告便修改了口罩銷售的準(zhǔn)入條件(具體時(shí)間不明),目前美國(guó)站銷售口罩等防疫物資的要求見附件[3]。
從附件可知,亞馬遜目前拒絕了貿(mào)易商在平臺(tái)上銷售口罩,這已經(jīng)明顯超出了法規(guī)的要求。
維權(quán)僅僅一天后,騰訊新聞5月8日,一個(gè)叫“南七道”的自媒體賬號(hào)發(fā)布了一篇《被亞馬遜封殺的中國(guó)口罩賣家:有人千萬資金被凍結(jié) 申訴遙遙無期》,其中的不實(shí)報(bào)道如下:
在深圳龍華的賣數(shù)碼產(chǎn)品的胡蘭(化名)說:“亞馬遜其實(shí)提前有過多次警示,這次賣口罩被封殺的,很多是咎由自取,當(dāng)然可能有部分是誤殺?!彼忉尩?,亞馬遜是系統(tǒng)掃描,判定是否違規(guī)。疫情中也加大了人工巡查和審核。之前她也聽說了各種關(guān)于賣家炒作防疫物資的行為?!坝行┤颂澚?。”
而事實(shí)上我們都沒有收到過類似的電話,甚至連郵件都沒有收到。“有些人太貪了”這樣的描述對(duì)于廣大公眾存在很明顯的誤導(dǎo)作用,評(píng)論也一邊倒地偏向于亞馬遜方面。
其大意基本上是以下幾點(diǎn):
1、亞馬遜判定中國(guó)亞馬遜賣家們違反了相關(guān)法律法規(guī)和亞馬遜的相關(guān)規(guī)則。
2、部分中國(guó)賣家企圖欺騙消費(fèi)者、借全球公共衛(wèi)生緊急事件獲取非法商業(yè)利益。
3、亞馬遜平臺(tái)對(duì)部分中國(guó)賣家感到失望,亞馬遜希望各級(jí)政府、行業(yè)伙伴一起,打擊含有誤導(dǎo)信息產(chǎn)品的不良銷售行為,維護(hù)健康、安全的市場(chǎng)環(huán)境。

亞馬遜還擅自修改了合約中的關(guān)鍵條款,在英文界面的合約下對(duì)永久扣留資金的情形里增加了“多次違反平臺(tái)規(guī)則”的語句,企圖掩蓋侵吞賣家資金的非法性。
通過比對(duì)亞馬遜后臺(tái)中文、英文界面的同一合約,能夠發(fā)現(xiàn)其中存在明顯的差異。
維權(quán)事件后,我們發(fā)現(xiàn)亞馬遜正在瘋狂向買家進(jìn)行退款,并給出了這樣的通知[5]:

亞馬遜這樣未查明事實(shí)就擅自批量退款的操作,造成賣家營(yíng)收額數(shù)額急劇減少,我們認(rèn)為亞馬遜是惡意消耗賣家資金使賣家不能正常獲得銷售款項(xiàng)。
(1)跨境電商口罩等防疫物資的銷售很大程度解決了各國(guó)防疫物資的短缺局面。全球疫情來勢(shì)洶洶,始料未及,口罩等關(guān)鍵防疫物質(zhì)極度緊缺,只有中國(guó)具備短時(shí)間內(nèi)向世界各國(guó)輸入天量口罩等防疫物資的能力。中國(guó)不僅僅通過政府、社會(huì)公益團(tuán)體捐贈(zèng),還有更多的口罩等防疫物資是通過跨境電商賣家銷售到世界各國(guó)的,這對(duì)防止新冠病毒擴(kuò)散發(fā)揮了巨大的作用??梢哉f,如果沒有廣大賣家通過電商交易方式給各國(guó)普通民眾銷售的大量口罩,僅僅依靠捐贈(zèng)和政府調(diào)配來供應(yīng),那么口罩等關(guān)鍵防疫物資的分配效率將大大降低,短缺程度將明顯比現(xiàn)在更為嚴(yán)重,而結(jié)果將會(huì)導(dǎo)致有更多的普通民眾被感染甚至死亡。
(2)國(guó)內(nèi)生產(chǎn)的口罩質(zhì)量可靠。疫情自年初爆發(fā)至今,政府不僅采取了鼓勵(lì)加大產(chǎn)能、引導(dǎo)制造商轉(zhuǎn)產(chǎn)、投產(chǎn)等方式增加了口罩供應(yīng),還嚴(yán)格控制產(chǎn)品質(zhì)量,從原材料的供應(yīng)到出廠環(huán)節(jié)都層層把關(guān),而成品也必須獲得權(quán)威機(jī)構(gòu)的檢測(cè)報(bào)告才能上市。因此,絕大部分賣家從國(guó)內(nèi)正規(guī)廠家采購的口罩貨源質(zhì)量都非??煽?,絕非粗制濫造的“三無”產(chǎn)品。我們對(duì)政府的監(jiān)管工作有信心,也對(duì)我們的中國(guó)制造有十足的把握。
(3)因此,亞馬遜買家對(duì)收到口罩給出了高度評(píng)價(jià),產(chǎn)品無論質(zhì)量還是價(jià)格都符合、甚至超出了買家期望,并感激賣家提供的口罩能夠大大降低了他們感染病毒的風(fēng)險(xiǎn)。參考部分亞馬遜買家收到貨物之后給出的評(píng)價(jià)[4]。
(1)近幾個(gè)月以來,中國(guó)各界向各國(guó)捐贈(zèng)的口罩多次遭受其他國(guó)家尤其是歐美等西方國(guó)家的質(zhì)疑、甚至索賠。但中國(guó)仍心懷寬廣,以全球抗疫大局為重,持續(xù)向其他各國(guó)輸出物資、抗疫技術(shù)及經(jīng)驗(yàn),為世界抗擊疫情默默地在多個(gè)領(lǐng)域做出貢獻(xiàn)。
(2)中國(guó)各界不但遭受了各種不公的輿論,還有大量的企業(yè)因此遭到了巨額的損失。例如,最近比亞迪就遭到加州政府以口罩未取得相關(guān)認(rèn)證為由被退款2.5億美金。而此次的亞馬遜封號(hào)與此如出一轍,都是在大量口罩實(shí)際發(fā)貨后遭受巨額損失,而涉及的金額恐怕已遠(yuǎn)遠(yuǎn)超過了2.5億美金。
(3)對(duì)于這種過河拆橋、忘恩負(fù)義、推卸責(zé)任的種種舉動(dòng),相信每一位中國(guó)人都感到深深的失望。此次亞馬遜在未深入調(diào)查的情況下,突然永久封店凍結(jié)資金。作為中國(guó)人,我們都十分清楚我們?cè)馐芰嗽鯓硬还降膶?duì)待,我們應(yīng)該感到憤慨。賣家在亞馬遜上的活動(dòng)雖然是商業(yè)行為,但是無法抹滅我們對(duì)防控新冠疫情所做一切的意義。
如果賣家違規(guī),亞馬遜可以關(guān)閉店鋪,但是在賣家沒有被相關(guān)政府部門判定違法的前提下,亞馬遜有何權(quán)力罰沒賣家應(yīng)收款?如果僅僅因?yàn)檫`規(guī)亞馬遜就能罰沒賣家應(yīng)收款,并且所有的平臺(tái)規(guī)則都由亞馬遜單方面制定,這是否意味著亞馬遜可以不受監(jiān)管地隨意處置賣家資產(chǎn)?
亞馬遜上周承諾,周三(2020年5月12日)前將提供針對(duì)每個(gè)賬號(hào)被封的具體原因,以及解封需要提供的相應(yīng)資料,但我們至今仍未收到相關(guān)的信息。而且,亞馬遜至今沒有任何證據(jù)可以證明賣家有違規(guī)、違法的事實(shí),就貿(mào)然凍結(jié)了賣家的應(yīng)收款,且數(shù)額巨大,已經(jīng)極大程度地影響了廣大賣家的正常經(jīng)營(yíng)活動(dòng)。
雖然亞馬遜封店通知的措辭是“凍結(jié)”,然而亞馬遜會(huì)在封店凍結(jié)后不久就劃走賣家后臺(tái)的應(yīng)收款,實(shí)際上做出了“罰沒”的操作,類似的事情之前已經(jīng)屢見不鮮。請(qǐng)問亞馬遜作為商業(yè)機(jī)構(gòu),是否有出示了充分的證據(jù)證明賣家違規(guī)違法?又是否有權(quán)利沒收賣家的應(yīng)收款?如果賣家確有違法,應(yīng)向相關(guān)監(jiān)管部門提交證據(jù),并交由監(jiān)管部門處理。而不是越俎代庖將賣家資金據(jù)為己有,規(guī)則和執(zhí)行都由亞馬遜制定,這其中存在巨大的操作空間,賣家的合法權(quán)益難以得到保障。
參考阿里公益在此次抗擊疫情的表現(xiàn):當(dāng)初武漢疫情爆發(fā)時(shí),國(guó)內(nèi)口罩緊缺,當(dāng)時(shí)口罩進(jìn)口中國(guó)有各種標(biāo)準(zhǔn),韓國(guó)標(biāo)準(zhǔn)、日本標(biāo)準(zhǔn)、歐洲標(biāo)準(zhǔn)、美國(guó)標(biāo)準(zhǔn),但是很多標(biāo)準(zhǔn)中國(guó)不能進(jìn)口。此時(shí)國(guó)家市場(chǎng)監(jiān)管總局的領(lǐng)導(dǎo),他那時(shí)說救人、救火、救武漢比什么都重要,立刻協(xié)調(diào)開會(huì),把很多口罩運(yùn)進(jìn)了國(guó)內(nèi)。后來阿里把口罩往國(guó)外運(yùn)的時(shí)候同樣碰上標(biāo)準(zhǔn)的問題,他們就把這個(gè)案例告訴別,現(xiàn)在是救命、救人,不是卡誰的標(biāo)準(zhǔn)更重要。
同樣地,亞馬遜賣家向各國(guó)買家銷售的口罩實(shí)實(shí)在在地為買家提供了防護(hù),大大地降低了病毒的傳播擴(kuò)散,這一現(xiàn)實(shí)意義無論無何也無法被抹滅。
亞馬遜如果認(rèn)為中國(guó)賣家銷售的口罩不合規(guī),大可以在類目審批、上架審核的過程中阻止賣家上架銷售。但是亞馬遜卻是在賣家銷售出了大量口罩并將貨物真實(shí)發(fā)出突然封號(hào)凍結(jié),實(shí)在是洗脫不掉惡意侵吞賣家資產(chǎn)的嫌疑!
根據(jù)亞馬遜條款[6],只有當(dāng)賣家的賬戶被確定用于欺騙、欺詐或非法活動(dòng)時(shí),亞馬遜才可以扣留賣家的款項(xiàng)。但是目前亞馬遜僅僅聲明賣家違規(guī)違法,并沒有提供相應(yīng)的證據(jù),而且亞馬遜沒有判定賣家違法的裁決權(quán)。因此,在賣家被有關(guān)法律部門判定違法之前,亞馬遜不得已此理由非法扣留賣家的合法收入。
綜上所述,我們要求亞馬遜立即采取以下行動(dòng):
(1)恢復(fù)買家們的賬號(hào)
(2)釋放賣家資金
(3)對(duì)此事件向賣家做出道歉,恢復(fù)賣家聲譽(yù)
對(duì)于亞馬遜無端停用賬號(hào),扣留賣家資金,涉嫌惡意侵吞賣家資產(chǎn)的欺詐行為,肯請(qǐng)有關(guān)經(jīng)偵部門立即展開調(diào)查,并采取一定的監(jiān)管措施,規(guī)范亞馬遜今后的經(jīng)營(yíng)行為。

Welcome to Amazon Services Business Solutions, a suite of optional services for sellers including: Selling on Amazon, Fulfillment by Amazon, Amazon Clicks, Transaction Processing? Services, and the Marketplace Web Service.
THIS AMAZON SERVICES BUSINESS SOLUTIONS AGREEMENT (THE "AGREEMENT") CONTAINS THE TERMS AND CONDITIONS THAT GOVERN YOUR ACCESS TO AND USE OF THE SERVICES AND IS AN AGREEMENT BETWEEN YOU OR THE BUSINESS YOU REPRESENT AND AMAZON. BY REGISTERING FOR OR USING THE SERVICES, YOU (ON BEHALF OF YOURSELF OR THE BUSINESS YOU REPRESENT) AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT, INCLUDING THE SERVICE TERMS AND PROGRAM POLICIES THAT APPLY FOR EACH COUNTRY FOR WHICH YOU REGISTER OR ELECT TO USE A SERVICE (IN EACH CASE, THE "ELECTED COUNTRY").

To begin the enrollment process, you must complete the registration process for one or more of the Services. Use of the Services is limited to parties that can lawfully enter into and form contracts under applicable Law (for example, the Elected Country may not allow minors to use the Services). As part of the application, you must provide us with your (or your business') legal name, address, phone number and e-mail address. We may at any time cease providing any or all of the Services at our sole discretion and without notice.
Fee details are described in the applicable Service Terms and Program Policies. You are responsible for all of your expenses in connection with this Agreement. To use a Service, you must provide us with valid credit card information from a credit card or credit cards acceptable by Amazon ("Your Credit Card") as well as valid bank account information for a bank account or bank accounts acceptable by Amazon (conditions for acceptance may be modified or discontinued by us at any time without notice) ("Your Bank Account"). You will use only a name you are authorized to use in connection with a Service and will update all of the information you provide to us in connection with the Services as necessary to ensure that it at all times remains accurate, complete, and valid. You authorize us (and will provide us documentation evidencing your authorization upon our request) to verify your information (including any updated information), to obtain credit reports about you from time to time, to obtain credit authorizations from the issuer of Your Credit Card, and to charge Your Credit Card or debit Your Bank Account for any sums payable by you to us (in reimbursement or otherwise). All payments to you will be remitted to Your Bank Account through a banking network or by other means specified by us.
If we determine that your actions or performance may result in returns, chargebacks, claims, disputes, violations of our terms or policies, or other risks to Amazon or third parties, then we may in our sole discretion withhold any payments to you for as long as we determine any related risks to Amazon or third parties persist. For any amounts that we determine you owe us, we may (a) charge Your Credit Card or any other payment instrument you provide to us; (b) offset any amounts that are payable by you to us (in reimbursement or otherwise) against any payments we may make to you or amounts we may owe you; (c) invoice you for amounts due to us, in which case you will pay the invoiced amounts upon receipt; (d) reverse any credits to Your Bank Account; or (e) collect payment or reimbursement from you by any other lawful means. If we determine that your account has been used to engage in deceptive, fraudulent, or illegal activity, then we may in our sole discretion permanently withhold any payments to you. Except as provided otherwise, all amounts contemplated in this Agreement will be expressed and displayed in the Local Currency, and all payments contemplated by this Agreement will be made in the Local Currency.
In addition, we may require that you pay other amounts to secure the performance of your obligations under this Agreement or to mitigate the risk of returns, chargebacks, claims, disputes, violations of our terms or policies, or other risks to Amazon or third parties. These amounts may be refundable or nonrefundable in the manner we determine, and failure to comply with terms of this Agreement, including any applicable Program Policies, may result in their forfeiture.
